Terms of Service

This Customer Terms of Service is entered into by and between Taag as a product of Carl-labs and the entity or person accessing any Services ("Customer" or "you"). If you are accessing or using the Services on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company, and all references to "you" or "Customer" reference your company. Please note that if you sign up for the Services using an email address from your employer or another entity, then (1) you will be deemed to represent such party, (2) your acceptance will bind your employer or that entity to these terms, and (3) the words "Customer", "you" or "your" in this Agreement will refer to your employer or that entity.

This Agreement permits Customer to purchase subscriptions to online software-as-a- service products and other services from Taag according to any Taag ordering document.

1. Services and Support

Provision of Services

Subject to the terms of this Agreement, Taag will provide you with access to the Services, which include:

• • Taag Payments: Payment processing services supporting Visa, Mastercard, and American Express with direct bank payouts
• • Taag Billing: Automated recurring billing and subscriber management tools
• • Taag Optimize: Revenue optimization tools for conversion, retention, and recovery
• • Taag Intelligence: AI-powered insights and agents for subscriber analytics

Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Payment Terms

Fees

Customer agrees to pay all fees associated with the Services according to the pricing plan selected:

• • Free Plan: 4.8% + 50¢ per transaction
• • Pro Plan: 20 USD/month

Payment Processing

All payments are processed through Flutterwave Rwanda Limited. By using Taag Payments, you agree to comply with Flutterwave's terms and conditions and applicable payment card industry standards.

Billing

Subscription fees for the Pro Plan are billed monthly in advance. Transaction fees are deducted from each payment processed through the platform.

3. Customer Obligations

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with this Agreement. You will not:

• • Use the Services to process payments for illegal goods or services
• • Engage in fraudulent or deceptive practices
• • Violate any applicable laws or regulations
• • Interfere with or disrupt the Services or servers
• • Attempt to gain unauthorized access to any part of the Services

Customer Data

You retain all rights to your Customer Data. You grant Taag a license to use, store, and process Customer Data solely to provide the Services. You represent and warrant that you have all necessary rights to provide Customer Data to Taag and that such data does not violate any third-party rights.

4. Intellectual Property

Taag Property

Taag and its licensors own all rights, title, and interest in and to the Services, including all intellectual property rights. This Agreement does not grant you any rights to Taag's trademarks, logos, or brand elements.

Feedback

If you provide feedback, suggestions, or ideas about the Services, Taag may use such feedback without any obligation to you.

5. Privacy and Security

Taag's collection and use of personal information is governed by our Privacy Policy. By using the Services, you consent to such collection and use. Taag implements appropriate security measures to protect Customer Data, but cannot guarantee absolute security.

6. Term and Termination

This Agreement begins when you first access the Services and continues until terminated by either party.

Refunds

If a subscriber requests a refund for a payment processed through Taag, Taag may require you to process that refund. If you refuse to refund a legitimate subscriber request, Taag reserves the right to temporarily suspend your account until the matter is resolved.

Termination

Either party may terminate this Agreement at any time. You may terminate by closing your account through the Services. Taag may terminate or suspend your access immediately if you breach this Agreement or engage in fraudulent activity.

Effect of Termination

Upon termination, your right to access the Services will cease immediately. Taag will retain Customer Data for a reasonable period to allow you to retrieve it, after which it may be deleted. Provisions that by their nature should survive termination will survive.

7. Warranties

Service Availability

While Taag strives to maintain high availability, the Services are provided "as is" and "as available" without warranties of any kind, either express or implied. Taag does not warrant that the Services will be uninterrupted, error-free, or secure.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAAG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

TAAG'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TAAG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Taag, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of this Agreement, or violation of any third-party protected rights.

10. Governing Law and Disputes

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Rwanda, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from this Agreement shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the competent courts of Rwanda.

11. General Provisions

Changes to Terms

Taag may modify these Terms at any time by posting revised Terms on our website. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

Entire Agreement

This Agreement, together with our Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and Taag regarding the Services and replaces all prior agreements.
